Keyway User Terms

These User Terms are an agreement between you and Keyway Labs, LLC, a Michigan limited liability company ("Keyway," "we," "us"), for your personal use of Keyway Offer and related software and services (the "Services") through your brokerage's account. Your brokerage's agreement with Keyway (the Brokerage Terms) governs the relationship between Keyway and your brokerage. You accept these User Terms by checking the box and continuing in the Services.

1. Your account

You must be a licensed real estate agent or broker, or a staff member, of a brokerage that uses Keyway. Keep your login private and don't share your account. Tell your brokerage and Keyway (legal@keywayoffer.com) promptly if you learn of any unauthorized access or security issue. Your access depends on your brokerage's account and may end when you leave the brokerage or its account ends.

2. Acceptable use

Use the Services only for your brokerage's real estate business. Don't:

copy, reverse engineer, scrape or try to figure out how the Services are built;
record or share screens, workflows or outputs with any developer, vendor or other person outside your brokerage;
use the Services to design or help build a competing product;
give anyone outside your brokerage, including any developer or vendor, access to the Services;
remove or alter any proprietary notice;
test or try to get around the security of the Services; or
use the Services in violation of law, MLS rules or your license obligations.

3. Your responsibility for documents

Keyway is a software tool, not your broker or attorney, and doesn't give legal advice. You are responsible for reviewing and verifying every document, field and signature before it is signed, sent or relied on. When you send documents for e-signature, send them only to people who have agreed to sign electronically, verify signer identity where required, and confirm electronic signature is allowed for that document.

4. Confidentiality

The non-public screens, workflows, question sequences and features of the Services are Keyway's confidential information. Keep them confidential, use them only to do your work, and don't share them with anyone outside your brokerage. This obligation continues after your access ends.

5. Feedback and no equity

If you send suggestions, ideas, feature requests or bug reports, you assign all rights in them to Keyway, and Keyway may use them for any purpose without payment or credit. Keyway owns everything it builds, whether or not it is based on your feedback. Giving feedback, testing the Services, or referring others does not give you any equity, ownership, royalty, revenue share, commission or other compensation or interest in Keyway or its products, and does not create any partnership, agency or employment relationship.

6. Privacy

Keyway's Privacy Notice explains how your information is handled. The voice feature converts speech to text only; it does not collect voiceprints or other biometric identifiers.

7. Disclaimer and limitation of liability

To the maximum extent permitted by law, the Services are provided "as is," without warranties of any kind. Keyway is not liable to you for indirect, incidental or consequential damages, lost commissions, or any loss or delay of a real estate transaction. Keyway's total liability to you will not exceed $100.

8. Suspension and termination

Keyway may suspend or end your access if you violate these Terms, for security or legal reasons, or if your brokerage's account ends or is paused. Sections 2 through 5, 7 and 9 survive.

9. Governing law

Michigan law governs these Terms. Disputes go to the state courts in Oakland County, Michigan, or the U.S. District Court for the Eastern District of Michigan.

10. Changes

Keyway may update these Terms. For material changes, you'll be asked to accept the new version before continuing to use the Services.
