Keyway Privacy Notice

This Privacy Notice explains how Keyway Labs, LLC ("Keyway," "we," "us"), 28551 Southfield Rd, Suite 206, Lathrup Village, Michigan 48076, handles personal information through Keyway Offer, KeySign and our websites (the "Services").

1. Who this applies to

Users: agents, brokers and staff of brokerages that use Keyway.
Signers and recipients: clients, cooperating agents and others who receive or sign documents through KeySign.
Website visitors and people who contact us.

Our role. When brokerages and their Users put client and transaction information into the Services, we process it on behalf of the brokerage, which decides how it is used. If you are a buyer, seller or other client, please contact your agent's brokerage about your information; we will help them respond to your request.

2. Information we collect

Account information: name, email, phone, brokerage, title, license number, login credentials (stored hashed), and role.
Transaction and document information entered by Users: names and contact details of buyers, sellers and other parties, property details, prices, dates, terms, and the documents created, uploaded or signed.
MLS data retrieved through the brokerage's MLS access, such as listing details and listing documents.
E-signature information: signer name, email or phone, the signature or initials adopted, verification codes, consent to sign electronically, and an audit trail (timestamps, IP address, device and browser).
Voice input: when a User uses the voice feature, audio is converted to text to fill in fields. We do not create voiceprints, collect biometric identifiers, or use voice to identify anyone. We will not change this without at least 30 days' notice and any consent required by law.
Legal acceptance records: who accepted our Terms, when, which version, and the IP address and browser used.
Usage and device information: pages and features used, log data, IP address, browser and device type, and similar technical information.
Communications you send us, such as support requests and feedback.

We do not knowingly collect information from children under 16, and the Services are not intended for them.

3. How we use information

To provide the Services: prepare, send, sign, store and retrieve documents; fill fields from MLS and transaction data; and run the voice feature.
To secure the Services, prevent fraud and misuse, and keep audit trails.
To provide support and communicate about accounts, Terms and service changes.
To maintain and improve the Services, including through aggregated or de-identified information that does not identify any person, brokerage or transaction.
To comply with law, MLS rules and legal requests, and to enforce our agreements.

We do not sell personal information, use it for targeted advertising, or allow our providers to use brokerage or client data to train their general-purpose AI models.

With the brokerage whose account the information belongs to, and its authorized Users.
With people a User sends documents to, such as signers, cooperating agents and other transaction parties, as directed by the User.
With service providers who help us run the Services under contracts that require them to protect the information and use it only on our instructions. We use providers in these categories: cloud infrastructure and database hosting; secure file storage; application hosting and content delivery; transactional email; text messaging for signer verification; artificial-intelligence language processing; speech-to-text processing; MLS data delivery; error and performance monitoring; and, where applicable, payment processing. Names of current providers are available to customers on request at legal@keywayoffer.com.
With MLSs or data providers as required by their data-license terms.
For legal reasons: to comply with law or legal process, protect rights and safety, or enforce our agreements.
In a business transfer, such as a merger, financing or sale of our business, subject to this Notice.

5. Retention

We keep brokerage and transaction information, including executed documents, for as long as the brokerage's account is active. After the account ends, we make it available to the brokerage for export for 30 days and then delete it, except where law requires us to keep it; backups are deleted on their normal cycle. We keep signature certificates, signing audit trails and records of acceptance of our Terms for 7 years after the document was signed or the Terms were accepted, so signatures and agreements can be verified if they are ever questioned.

6. Security

We use reasonable administrative, technical and organizational safeguards, including encryption in transit and at rest, tenant isolation, role-based access controls, and audit logging. No system is perfectly secure. If we confirm a breach affecting personal information, we will notify the affected brokerage and, where required by law, affected individuals and regulators.

7. Your choices and rights

Users can review and update their account information in the Services or by contacting us.
Clients and other transaction parties should contact the brokerage, which controls that information; we will assist the brokerage.
Depending on where you live, you may have rights to access, correct, delete or get a copy of your personal information, or to object to certain processing. To make a request, email legal@keywayoffer.com. We will verify your request and respond as required by applicable law, and we will not discriminate against you for exercising your rights.
You can control cookies through your browser settings. We use only cookies needed to run and secure the Services and to understand basic usage.

8. Location of processing

Keyway is based in the United States, and information is stored and processed in the United States.

9. Changes

We may update this Notice. We will post the new version with its effective date and, for material changes, notify Users in the Services or by email.
